What is the Exempt Securities Market?

In Canada, the exempt securities market describes a portion of capital markets which certain exemptions are provided under provincial securities legislation, including prospectus requirements and retail client sales requirements. The Exempt Securities Market is also know as the Private Capital Market.

What is an Exempt Market Dealer (EMD)?

An Exempt Market Dealer or EMD is a fully registered security entity engaged in the business of trading securities to qualified exempt market clients. Investments such as debt, equity and asset-backed securities can be sold in the exempt market.

Why do I need an EMD to buy Mortgage Investment Corporation (MIC) shares?

With the new regulations put in place by the British Columbia Securities Commission (BCSC) in February 2020, Mortgage Investment Entities such as Mortgage Investment Corporations (MICS)  are no longer able to sell shares directly to the public.  MICs now obligated to use the services of Exempt Market Dealers (EMDs) to raise capital.
